Terms and Conditions

1. Introduction

These Terms and Conditions (“Terms”) govern the contractual relationship between Faro Elite Services LLC (“Faro Elite”, “Faro”, “we”, “us” or “our”) and any individual or legal entity (“Client”, “you” or “your”) who accesses our website, purchases a membership, requests concierge services, accepts a quotation, or otherwise engages our services.

Faro Elite is a premium concierge and lifestyle management company providing bespoke travel, procurement, advisory and lifestyle management services to private individuals, families, family offices and corporate clients worldwide.

These Terms establish the legal framework governing our services and are intended to clearly define the rights, obligations and responsibilities of both Faro Elite and its Clients.

2. Our Services

Faro Elite is a professional concierge and lifestyle management business. We are not an online booking platform or marketplace.

Our role is to provide personalised advice, coordination and management services which may include, without limitation:

  • researching products, destinations and experiences;
  • identifying and evaluating suitable suppliers;
  • negotiating commercial terms where appropriate;
  • arranging reservations and bookings;
  • procuring goods and services;
  • designing itineraries;
  • coordinating multiple suppliers;
  • overseeing logistics and delivery;
  • providing ongoing lifestyle management and support.

Depending on the engagement, Faro Elite may either:

  • provide professional concierge services directly; and/or
  • arrange products or services supplied by carefully selected independent third-party suppliers.

The nature and scope of each engagement will be confirmed before any binding commitment is made.

Unless expressly agreed otherwise in writing, Faro Elite contracts with Clients in its own name.

4. Acceptance of these Terms

These Terms become legally binding when you:

  • create an account;
  • submit an enquiry;
  • purchase a membership;
  • request concierge services;
  • accept a quotation;
  • authorise a booking;
  • make payment; or
  • continue to use our services after being notified of an updated version of these Terms.

By doing so, you confirm that:

  • you have read and understood these Terms;
  • you agree to be legally bound by them;
  • the information you provide is accurate and complete; and
  • you have the legal capacity and authority to enter into this agreement.

Where you act on behalf of another individual, company, family office or other organisation, you warrant that you have authority to bind that person or entity to these Terms.

5. Relationship with Other Policies

These Terms should be read together with Faro Elite’s published policies, including where applicable:

  • Privacy Policy;
  • Cookie Policy;
  • Membership Terms;
  • Refund & Cancellation Policy;
  • Travel & Supplier Policy;
  • Payment Disputes Policy;
  • Acceptable Use Policy; and
  • Website Disclaimer.

Those policies are incorporated into these Terms to the extent that they apply to the services being provided.

If any inconsistency arises, these Terms shall prevail unless another policy expressly states otherwise.

6. Eligibility

To use Faro Elite’s services you must:

  • be at least eighteen (18) years of age;
  • have legal capacity to enter into binding contracts;
  • provide accurate and up-to-date information;
  • comply with all applicable laws and regulations; and
  • provide valid payment details when requested.

Faro Elite reserves the right to refuse, suspend or discontinue services where we reasonably believe that a Client has provided false information, engaged in unlawful conduct or materially breached these Terms.

7. Definitions

In these Terms:

Account means a client profile maintained by Faro Elite.

Booking means any reservation, procurement, purchase or arrangement made by Faro Elite on behalf of a Client.

Client means any individual or legal entity engaging Faro Elite.

Concierge Services means the professional advisory, sourcing, planning, coordination and lifestyle management services provided by Faro Elite.

Membership means any subscription programme offered by Faro Elite.

Service Fee means Faro Elite’s professional fee for providing concierge, advisory or management services.

Supplier means any independent third-party provider including, without limitation, airlines, hotels, transport operators, villa owners, restaurants, event organisers, luxury retailers, experience providers or other external service providers.

Supplier Charges means amounts payable to Suppliers for goods or services supplied by them.

Travel Services means flights, accommodation, transport, itineraries and related travel arrangements.

Luxury Goods means products sourced or procured by Faro Elite on behalf of a Client.

Working Day means any day other than a Saturday, Sunday or public holiday in Mauritius.

Additional defined terms shall have the meaning given to them where first introduced.

8. Interpretation

Unless the context requires otherwise:

  • words importing the singular include the plural and vice versa;
  • references to a gender include every gender;
  • headings are for convenience only and do not affect interpretation;
  • references to legislation include any amendment, replacement or re-enactment of that legislation;
  • the words including, includes and such as are illustrative and shall not be interpreted as limiting; and
  • references to writing include email and other electronic communications accepted by Faro Elite.

9. Changes to these Terms

Faro Elite may amend these Terms where reasonably necessary to reflect:

  • changes to our services;
  • legal or regulatory developments;
  • operational improvements;
  • technological developments; or
  • changes to our business model.

The latest version of these Terms will be published on our website.

Unless required by law, amendments apply prospectively from their stated effective date and will not affect contractual rights or obligations that accrued before those amendments came into force.

10. Membership

10.1 Membership Programme

Faro Elite may offer one or more membership programmes designed to provide enhanced access to concierge services, preferential benefits and exclusive experiences.

Membership benefits may include, depending on the applicable tier:

  • dedicated concierge support;
  • priority response times;
  • preferred access to selected suppliers;
  • negotiated commercial arrangements;
  • invitations to exclusive events;
  • personalised lifestyle management;
  • travel planning and coordination;
  • procurement assistance; and
  • other benefits published by Faro Elite from time to time.

Membership benefits are personal to the Member and do not create any ownership interest, partnership, agency, employment or fiduciary relationship with Faro Elite.

Membership provides access to the benefits associated with the applicable tier but does not guarantee the availability of any supplier, reservation, product, experience or event.

The features, eligibility criteria, pricing and renewal arrangements applicable to each membership tier are set out in the Membership Terms.

10.2 Membership Applications

Faro Elite reserves the right, at its sole discretion, to:

  • approve or decline any application;
  • request additional information;
  • conduct identity or compliance checks where appropriate; and
  • refuse or withdraw membership where reasonably necessary to protect Faro Elite, its Clients, suppliers or legitimate business interests.

Acceptance of an application shall not oblige Faro Elite to continue membership where circumstances subsequently justify suspension or termination under these Terms.

10.3 Membership Fees

Membership fees are payable in accordance with the Membership Terms and any quotation or invoice issued by Faro Elite.

Unless expressly stated otherwise:

  • membership fees are payable in advance;
  • membership fees relate solely to membership benefits;
  • Supplier Charges remain payable separately.

Membership fees compensate Faro Elite for maintaining concierge resources, member services and ongoing support.

10.4 Renewals

Where memberships renew automatically, renewals will be processed in accordance with the Membership Terms and applicable law.

Clients may cancel future renewals in accordance with those Membership Terms.

Cancellation of an upcoming renewal does not entitle a Client to a refund for the current membership period unless expressly stated otherwise or required by law.

10.5 Suspension or Termination of Membership

Faro Elite may suspend or terminate membership where a Client:

  • materially breaches these Terms;
  • fails to pay sums due;
  • behaves abusively, threateningly or unlawfully;
  • misuses membership benefits;
  • provides false or misleading information;
  • attempts to obtain services fraudulently; or
  • acts in a manner likely to damage Faro Elite’s reputation or legitimate business interests.

Where reasonably practicable, Faro Elite will notify the Client before taking such action.

Suspension or termination does not affect any rights or obligations that accrued before the effective date of suspension or termination.

11. Concierge Services

11.1 Scope of Services

Faro Elite provides bespoke concierge and lifestyle management services tailored to each Client’s individual requirements.

Depending on the engagement, our services may include:

  • understanding the Client’s objectives;
  • researching available options;
  • identifying suitable suppliers;
  • obtaining quotations;
  • negotiating commercial terms;
  • coordinating bookings and reservations;
  • arranging procurement of goods and services;
  • managing communications with suppliers;
  • monitoring delivery of agreed services; and
  • providing ongoing lifestyle management and support.

Every engagement is unique and the precise scope of services will depend upon the Client’s instructions and the agreed engagement.

11.2 Professional Concierge Services

Clients acknowledge that Faro Elite performs substantial professional work independently of whether a booking or purchase ultimately proceeds.

This work may include:

  • research;
  • planning;
  • supplier sourcing;
  • itinerary design;
  • procurement advice;
  • commercial negotiations;
  • project management;
  • coordination;
  • strategic recommendations; and
  • other professional concierge services.

Accordingly, Faro Elite may charge Service Fees for professional work already performed where those fees have been disclosed before the engagement commenced, irrespective of whether the Client subsequently proceeds with the proposed transaction.

11.3 Availability

Availability of suppliers, products and experiences cannot be guaranteed.

This includes, without limitation:

  • flights;
  • accommodation;
  • restaurants;
  • private aviation;
  • yacht charters;
  • luxury goods;
  • event tickets;
  • experiences; and
  • other third-party services.

Availability and pricing may change without notice until a booking has been confirmed.

A quotation or proposal does not constitute confirmation unless Faro Elite expressly confirms that the relevant booking or procurement has been accepted.

11.4 Standard of Care

Faro Elite will exercise reasonable skill, care and diligence in providing its Concierge Services.

However, because many engagements depend upon independent third-party suppliers, Faro Elite cannot guarantee:

  • supplier performance;
  • uninterrupted availability;
  • pricing;
  • reservation availability;
  • inventory;
  • travel schedules; or
  • event availability.

Our responsibility is to provide professional concierge services with reasonable care and skill. Independent suppliers remain responsible for the goods and services they provide.

11.5 Bespoke Engagements

Many Faro Elite engagements involve significant planning and coordination before any booking is confirmed.

Examples include:

  • complex travel itineraries;
  • destination management;
  • luxury procurement;
  • private events;
  • bespoke experiences;
  • personal shopping;
  • relocation assistance; and
  • family office lifestyle support.

Because these engagements often involve substantial professional work before any supplier commitment is made, separate Service Fees may apply.

12. Service Requests

Clients may request services through any communication channel authorised by Faro Elite, including:

  • our website;
  • email;
  • telephone;
  • approved messaging platforms;
  • video conference;
  • in-person meetings.

Faro Elite may require written confirmation before commencing certain engagements.

12.1 Quotations

Unless expressly stated otherwise, quotations:

  • are based upon information available at the time they are prepared;
  • are estimates only;
  • remain subject to supplier availability;
  • may be affected by taxes, governmental charges or exchange-rate movements; and
  • remain valid only for the period specified in the quotation.

12.2 Acceptance of Quotations

A quotation becomes contractually binding only when:

  • the Client accepts the quotation; and
  • any required deposit or advance payment has been received.

Until those conditions are satisfied, Faro Elite cannot guarantee availability or pricing.

13. Client Responsibilities

Clients agree to:

  • provide accurate and complete information;
  • respond promptly to requests for information;
  • comply with supplier requirements;
  • maintain valid travel documentation where applicable;
  • comply with all applicable laws;
  • pay all sums when due;
  • review confirmations immediately upon receipt; and
  • notify Faro Elite promptly of any errors or discrepancies.

Faro Elite shall not be responsible for delays, losses or additional costs resulting from inaccurate, incomplete or late information supplied by the Client.

13.1 Travel Documentation

Where Travel Services are provided, Clients are solely responsible for ensuring they possess all documentation required for their journey, including:

  • valid passports;
  • visas;
  • health documentation;
  • vaccination certificates where applicable;
  • travel insurance;
  • entry permits; and
  • any other documentation required by the relevant authorities.

Any information provided by Faro Elite regarding travel requirements is of a general nature only and should not be relied upon as legal or immigration advice.

13.2 Authority to Instruct

Where one person provides instructions on behalf of multiple travellers or an organisation, Faro Elite may rely upon those instructions unless notified otherwise in writing.

That individual warrants that they have authority to:

  • request services;
  • approve quotations;
  • authorise bookings;
  • incur charges; and
  • accept these Terms on behalf of the relevant parties.

13.3 Communications

Clients must ensure that their contact details remain accurate and that they remain reasonably contactable during active engagements.

Important communications may be delivered by email, telephone, SMS, secure client portal or another agreed communication method.

Clients are responsible for reviewing communications promptly and responding where timely action is required.

14. Service Standards

Faro Elite aims to provide a highly personalised and responsive concierge service.

Estimated response times depend upon factors including:

  • membership tier;
  • complexity of the request;
  • supplier operating hours;
  • international time zones;
  • public holidays; and
  • circumstances beyond our reasonable control.

Unless expressly agreed otherwise in writing, response times are service objectives only and do not constitute contractual guarantees.

Priority handling may be offered to certain Clients depending upon membership level, urgency and operational requirements. Such priority does not guarantee the availability of any booking, supplier or experience.

Faro Elite continually reviews its services, operational procedures and supplier relationships to improve the Client experience and may invite Clients to provide feedback following completion of an engagement.

15. Bookings & Procurement

15.1 General

Faro Elite may, at the Client’s request, arrange, coordinate or procure products and services on the Client’s behalf.

Depending upon the engagement, our services may include:

  • sourcing suitable suppliers;
  • obtaining quotations;
  • negotiating commercial terms;
  • making reservations;
  • procuring goods or services;
  • coordinating travel arrangements;
  • managing itineraries;
  • arranging deliveries; and
  • liaising with suppliers before, during and after fulfilment.

Each engagement is tailored to the Client’s requirements and the scope of our services will vary accordingly.

15.2 Client Instructions

The Client is responsible for ensuring that all instructions provided to Faro Elite are:

  • accurate;
  • complete;
  • lawful; and
  • provided in sufficient time for us to perform the requested services.

Faro Elite may rely upon instructions received from the Client or any person the Client has authorised to act on their behalf.

Where instructions are unclear or incomplete, Faro Elite may delay or suspend the relevant engagement until clarification is received.

Faro Elite shall not be liable for delays, additional costs or failed bookings arising from inaccurate, incomplete or late instructions provided by the Client.

15.3 Booking Confirmation

A Booking shall only be regarded as confirmed once Faro Elite has issued written confirmation confirming that:

  • the Booking has been accepted;
  • any required payment has been received; and
  • the relevant Supplier has confirmed availability.

Until written confirmation has been issued, all quotations, pricing and availability remain subject to change.

15.4 Changes Requested by the Client

Prior to confirmation, the Client may request changes to a proposed Booking.

Following confirmation, any amendment remains subject to:

  • Supplier availability;
  • the Supplier’s contractual terms;
  • additional Supplier Charges; and
  • any additional Service Fees payable to Faro Elite .

Although Faro Elite will use reasonable efforts to facilitate amendments, we cannot guarantee that changes will be possible after confirmation.

15.5 Special Requests

Where requested, Faro Elite will communicate reasonable special requests to the relevant Supplier, including dietary requirements, accessibility needs, celebration arrangements or accommodation preferences.

Unless confirmed in writing by the Supplier, Faro Elite cannot guarantee that any special request will be accommodated.

16. Third-Party Suppliers

16.1 Independent Suppliers

Many of the services arranged by Faro Elite are supplied by independent third-party businesses.

These may include airlines, hotels, villa operators, transport providers, restaurants, event organisers, luxury retailers, experience providers, private aviation operators, yacht charter companies and other specialist service providers.

Unless expressly stated otherwise, Faro Elite does not own, operate or control these Suppliers.

16.2 Supplier Responsibility

Each Supplier is solely responsible for:

  • the goods and services it provides;
  • compliance with applicable laws;
  • maintaining any licences, permits or insurance required for its business; and
  • performing its contractual obligations.

Faro Elite remains responsible only for the Concierge Services it agrees to provide directly.

16.3 Supplier Terms

Bookings arranged through Faro Elite are frequently subject to the Supplier’s own contractual terms, including policies relating to:

  • cancellations;
  • refunds;
  • amendments;
  • baggage;
  • warranties;
  • delivery;
  • venue admission; and
  • operational requirements.

Where applicable, those Supplier terms apply in addition to these Terms.

If there is any inconsistency, the Supplier’s terms shall govern matters relating to the Supplier’s own goods or services, unless prohibited by applicable law.

16.4 Supplier Pricing

Supplier pricing may change before confirmation due to circumstances outside Faro Elite ?reasonable control, including:

  • availability;
  • seasonal demand;
  • exchange-rate fluctuations;
  • taxation;
  • government charges;
  • fuel surcharges; and
  • Supplier pricing decisions.

Where practicable, Faro Elite will notify the Client of any material change before confirming the Booking.

16.5 Communications with Suppliers

Where appropriate, Faro Elite may communicate directly with Suppliers on the Client’s behalf to:

  • obtain quotations;
  • negotiate commercial arrangements;
  • coordinate reservations;
  • facilitate amendments;
  • resolve operational issues; and
  • seek alternative arrangements where reasonably available.

Such communications form part of Faro Elite professional Concierge Services.

17. Travel Services

17.1 Scope

Travel Services may include:

  • flights;
  • accommodation;
  • rail;
  • cruises;
  • private aviation;
  • yacht charter;
  • transfers;
  • destination management;
  • itineraries; and
  • travel coordination.

All Travel Services remain subject to Supplier availability and operational requirements.

17.2 Travel Requirements

The Client is solely responsible for ensuring that every traveller possesses the documentation required for travel, including passports, visas, vaccination certificates, health documentation, customs declarations and entry permits.

Faro Elite may provide general guidance but does not warrant that such information is complete, current or applicable to every traveller.

17.3 Travel Insurance

Elite strongly recommends that Clients obtain comprehensive travel insurance appropriate to the value and nature of the services purchased.

Unless expressly agreed otherwise in writing, Faro Elite does not arrange insurance as part of its standard Concierge Services and accepts no responsibility for losses that appropriate insurance would ordinarily cover.

17.4 Travel Disruption

Travel may be affected by circumstances outside Faro Elite’s  reasonable control, including adverse weather, industrial action, government restrictions, airline operational decisions, security incidents or Supplier failure.

Where reasonably practicable, Faro Elite will assist the Client in coordinating alternative arrangements.

Unless Faro Elite has expressly agreed otherwise, any additional costs associated with those arrangements shall remain the responsibility of the Client.

18. Luxury Goods & Procurement

18.1 Procurement Services

At the Client’s request, Faro Elite may source and procure luxury goods, bespoke products, rare items, artwork, jewellery, watches, gifts, fashion, homeware and other specialist products.

Availability cannot be guaranteed until confirmed by the relevant Supplier.

18.2 Authenticity

Faro Elite seeks to source products from reputable Suppliers and, where available, will obtain certificates of authenticity or equivalent documentation.

Unless expressly agreed in writing, Faro Elite does not independently authenticate goods manufactured or supplied by third parties.

18.3 Bespoke Orders

Custom-made or personalised products may:

  • require advance payment;
  • be subject to extended production periods;
  • be non-refundable; and
  • be subject to Supplier-specific cancellation restrictions.

Where applicable, these conditions will be disclosed before the Client becomes contractually committed.

18.4 Delivery

Delivery dates provided by Suppliers are estimates unless expressly guaranteed.

Risk in physical goods shall pass in accordance with the applicable Supplier’s contractual arrangements or upon delivery to the Client, unless otherwise agreed in writing.

19. Payments & Fees

19.1 Charges

Amounts payable by the Client may include:

  • Membership Fees;
  • Service Fees;
  • advisory fees;
  • Booking management fees;
  • Supplier Charges;
  • delivery costs;
  • taxes;
  • governmental charges;
  • third-party expenses; and
  • any other agreed fees.

Where reasonably practicable, quotations and invoices will identify these charges separately.

19.2 Service Fees

Faro Elite may charge Service Fees for professional work including research, planning, sourcing, negotiations, itinerary design, procurement support, project management and other Concierge Services.

Service Fees compensate Faro Elite for professional services performed and are separate from Supplier Charges.

Unless expressly agreed otherwise, Service Fees become payable once the relevant professional work has commenced.

19.3 Deposits

Certain engagements require deposits before work can commence or Bookings can be secured.

Deposits may be required where:

  • Suppliers require advance payment;
  • bespoke work has commenced;
  • inventory is limited; or
  • reservations must be secured immediately.

Applicable deposit requirements will be communicated before payment is requested.

19.4 Payment

Payments may be made using payment methods approved by Faro Elite from time to time.

The availability of particular payment methods may vary according to jurisdiction, transaction value or the nature of the services provided.

19.5 Currency & Taxes

All quotations will identify the applicable currency.

Unless expressly stated otherwise, the Client remains responsible for any taxes, duties, import charges or governmental fees arising in connection with the services purchased.

Exchange-rate fluctuations prior to Booking confirmation may affect pricing.

19.6 Late Payment

Where payment is not received when due, Faro Elite may suspend work, postpone Bookings, suspend Membership benefits or decline further instructions until all outstanding amounts have been paid.

These rights are without prejudice to any other legal remedies available to Faro Elite .

19.7 Fraud Prevention

To protect both Clients and Faro Elite , we may undertake reasonable identity, payment and fraud-prevention checks before processing certain transactions.

Where we reasonably suspect fraud, unauthorised use or unlawful activity, Faro Elite may suspend or decline the transaction pending further verification.

19.8 Payment Security

Faro Elite uses reputable third-party payment providers and commercially reasonable security measures to protect payment information.

However, no online payment system can be guaranteed to be completely secure.

Clients remain responsible for safeguarding their account credentials and notifying Faro Elite immediately if they suspect any unauthorised use.

20. Service Delivery

20.1 Delivery of Services

Following confirmation of a Booking or engagement, Faro Elite  will provide the agreed Concierge Services using reasonable skill, care and diligence.

Depending upon the nature of the engagement, our services may include:

  • coordinating Suppliers;
  • monitoring reservations;
  • managing itineraries;
  • arranging logistics;
  • facilitating communications;
  • providing material updates; and
  • assisting with operational issues where reasonably practicable.

The extent of our ongoing involvement will depend upon the services purchased, the applicable Membership benefits and the scope of the agreed engagement.

20.2 Concierge Coordination

Where Faro Elite coordinates multiple Suppliers, we act as the Client’s central point of contact to help deliver a seamless experience.

Our coordination services may include travel, accommodation, dining, events, transport, personal shopping, wellness, security, family office support and other lifestyle management services.

Although Faro Elite coordinates these arrangements, each Supplier remains solely responsible for the goods and services it provides.

20.3 Client Communications

Clients must promptly notify Faro Elite if:

  • a confirmation has not been received;
  • booking details appear inaccurate;
  • travel documents contain errors;
  • delivery arrangements require amendment; or
  • any circumstance arises that may materially affect an engagement.

Prompt communication enables Faro Elite to assist before Supplier deadlines or contractual restrictions take effect.

21. Events, Experiences & Reservations

21.1 Event Services

Faro Elite may arrange access to sporting events, concerts, exhibitions, cultural events, hospitality packages, private functions and other experiences.

All reservations remain subject to Supplier confirmation and availability.

21.2 Venue Requirements

Admission to venues remains subject to the applicable venue’s terms and conditions, including security procedures, dress codes, age restrictions and behavioural requirements.

Faro Elite shall not be responsible where admission is refused because a Client fails to comply with those requirements.

21.3 Changes by Event Organisers

Event organisers may amend programmes, performers, venues, schedules or timings without notice.

Where Faro Elite becomes aware of a material change affecting a confirmed Booking, we will use reasonable efforts to notify the Client and assist in obtaining any remedy available under the relevant Supplier’s terms.

22. Restaurant Reservations

Faro Elite may assist Clients by arranging restaurant and hospitality reservations.

Confirmation of a reservation does not guarantee:

  • a specific table;
  • preferred seating;
  • menu availability;
  • attendance of particular chefs; or
  • uninterrupted service.

Clients remain responsible for complying with all reservation conditions communicated by the venue.

Where a venue imposes cancellation charges, no-show fees or minimum spend requirements that were disclosed before confirmation, those amounts remain payable by the Client.

23. Luxury Goods & Personal Shopping

Where Faro Elite provides personal shopping or procurement assistance, recommendations are based upon the Client’s stated preferences, market availability and information reasonably available at the time.

Availability of luxury products may be limited due to allocation policies, waiting lists, production constraints or manufacturer restrictions.

Clients should inspect goods promptly upon delivery and notify Faro Elite within a reasonable time if goods are damaged, incorrect or materially inconsistent with the confirmed order.

Nothing in this clause limits any mandatory statutory rights available to the Client.

24. Amendments to Confirmed Services

24.1 Client Requests

Following confirmation, the Client may request amendments to a Booking or procurement.

Faro Elite will use reasonable efforts to facilitate such requests but cannot guarantee that changes will be possible.

Any amendment remains subject to:

  • Supplier availability;
  • Supplier contractual terms;
  • additional Supplier Charges; and
  • any applicable Service Fees.

24.2 Supplier Changes

Independent Suppliers may occasionally amend confirmed arrangements due to operational requirements.

Examples include:

  • revised transport schedules;
  • alternative accommodation;
  • substituted vehicles;
  • amended dining times;
  • venue changes;
  • product substitutions; or
  • revised itineraries.

Where Faro Elite becomes aware of a material change, we will notify the Client as soon as reasonably practicable and, where appropriate, assist in coordinating available alternatives.

24.3 Material Changes

Where a Supplier proposes a material change that substantially alters the nature of a confirmed service, Faro Elite will, where reasonably practicable:

  • explain the proposed change;
  • discuss any reasonable alternatives;
  • facilitate any contractual remedies offered by the Supplier.

The final decision whether to accept a proposed alternative remains with the Client, subject to the Supplier’s contractual rights.

25. Customer Support

Faro Elite aims to provide appropriate support throughout every engagement.

Support may include:

  • responding to booking enquiries;
  • coordinating with Suppliers;
  • clarifying itineraries;
  • assisting with logistical issues; and
  • providing general Concierge support.

The level of support available may vary according to:

  • Membership level;
  • the services purchased;
  • Supplier operating hours;
  • geographical location;
  • operational circumstances; and
  • circumstances beyond Faro Elite’s reasonable control.

Where a Client experiences an urgent issue affecting a Booking arranged through Faro Elite , we will use reasonable efforts to assist in coordinating with the relevant Supplier.

However, Faro Elite cannot guarantee immediate resolution where the matter depends upon a third party, government authority or emergency services.

Clients should notify Faro Elite promptly if any issue arises during service delivery.

Failure to do so may reduce the ability to secure alternative arrangements or mitigate loss.

26. Continuous Improvement

Faro Elite continually reviews:

  • Supplier performance;
  • service quality;
  • operational procedures;
  • customer feedback;
  • complaint outcomes; and
  • industry developments.

This information may be used to improve our services, refine Supplier relationships and enhance the overall Client experience.

Where feedback contains personal information, it will be processed in accordance with our Privacy Policy.

27. Cancellations

27.1 Cancellation by the Client

A Client may request cancellation of a Booking, procurement or Concierge engagement at any time by notifying Faro Elite in writing.

Cancellation will take effect only when Faro Elite acknowledges receipt of the request.

The financial consequences of cancellation will depend upon:

  • the nature of the engagement;
  • the stage reached when cancellation occurs;
  • the Service Fees already earned by Faro Elite ;
  • any non-recoverable Supplier Charges; and
  • the applicable Supplier terms.

27.2 Service Fees

Faro Elite’s Service Fees compensate us for professional services performed, including research, planning, sourcing, negotiations, procurement support, itinerary preparation, project management and coordination.

Where those professional services have already been provided, the corresponding Service Fees remain payable and are generally non-refundable unless Faro Elite expressly agrees otherwise or applicable law requires a refund.

Cancellation of a proposed Booking does not automatically entitle the Client to recover Service Fees already earned.

27.3 Supplier Charges

Amounts paid or payable to independent Suppliers remain subject to the applicable Supplier’s cancellation and refund policies.

Where a Supplier imposes cancellation charges, forfeits deposits or declines to issue a refund, Faro Elite shall not be responsible for reimbursing those amounts unless Faro Elite has separately agreed to do so in writing.

Where Faro Elite receives a refund from a Supplier on the Client’s behalf, that refund will be passed to the Client after deduction of any Service Fees already earned and any authorised administrative charges.

27.4 Bespoke Services

Certain engagements involve significant work before any Booking is confirmed.

Examples include:

  • bespoke itineraries;
  • luxury procurement;
  • destination research;
  • event planning;
  • sourcing rare products;
  • commercial negotiations; and
  • complex lifestyle management projects.

Where substantial professional work has already commenced, Faro Elite may retain all or part of the agreed Service Fees irrespective of whether the Client ultimately proceeds.

27.5 Membership Cancellation

Membership cancellations are governed by the Membership Terms.

Unless expressly stated otherwise, cancellation of Membership does not affect:

  • confirmed Bookings;
  • accrued Service Fees;
  • outstanding Supplier Charges; or
  • obligations arising before Membership ends.

28. Cancellation by Faro Elite

Faro Elite may cancel or decline to continue an engagement where:

  • payment is not received when due;
  • the Client commits a material breach of these Terms;
  • the Client provides false or misleading information;
  • continuing the engagement would be unlawful;
  • Supplier circumstances make performance impossible; or
  • exceptional circumstances arise beyond Faro Elite’s reasonable control.

Where practicable, Faro Elite will notify the Client and, where appropriate, refund any sums that Faro Elite is legally required to refund.

Nothing in this clause affects Faro Elite’s right to retain Service Fees already earned.

29. Supplier Failure

29.1 General

Independent Suppliers may occasionally become unable to perform their obligations because of insolvency, operational disruption, regulatory action, force majeure or other unforeseen circumstances.

As Faro Elite does not control independent Suppliers, we cannot guarantee their continued ability to perform.

29.2 Assistance

Where a Supplier fails to provide a confirmed service, Faro Elite will use reasonable efforts to:

  • contact the Supplier;
  • establish the cause of the failure;
  • identify available alternatives;
  • coordinate replacement arrangements where reasonably practicable; and
  • assist the Client in pursuing any remedies available under the Supplier’s contractual terms.

29.3 Replacement Suppliers

Where replacement services are available, Faro Elite may propose alternative Suppliers.

Any replacement remains subject to:

  • availability;
  • revised pricing;
  • revised Supplier terms; and
  • the Client’s approval.

Faro Elite is not obliged to fund any price difference unless expressly agreed in writing.

29.4 Insolvency

Where a Supplier becomes insolvent after payment has been made, Faro Elite will provide reasonable assistance in supporting any claim the Client may have against that Supplier, insurer or relevant compensation scheme.

Faro Elite cannot guarantee recovery of monies paid to an insolvent Supplier.

30. Refunds

30.1 General

Refund requests will be considered in accordance with:

  • these Terms;
  • the Refund & Cancellation Policy;
  • any applicable Supplier terms; and
  • mandatory consumer protection legislation.

No refund shall be due merely because a Client changes their mind after Faro Elite has begun performing the agreed services.

30.2 Refund Assessment

When assessing a refund request, Faro Elite may consider:

  • work already completed;
  • Service Fees earned;
  • Supplier refund decisions;
  • contractual commitments already entered into;
  • expenses incurred; and
  • any applicable legal obligations.

Each request will be assessed on its own facts.

30.3 Processing Refunds

Where a refund is approved, Faro Elite will ordinarily process it using the original payment method unless another method is agreed.

Processing times may depend upon:

  • payment providers;
  • banking systems;
  • card issuers; and
  • Supplier processing times.

30.4 Partial Refunds

Where only part of an engagement is refundable, Faro Elite may issue a partial refund reflecting:

  • recoverable Supplier Charges;
  • refundable deposits;
  • unused services; and
  • any Service Fees that have not yet been earned.

30.5 Non-Refundable Amounts

Unless required by law, the following are generally non-refundable once incurred:

  • Service Fees for work already performed;
  • Supplier cancellation charges;
  • non-refundable deposits;
  • bespoke procurement costs;
  • personalised products;
  • custom-made goods; and
  • third-party expenses already incurred on the Client’s behalf.

31. Complaints

31.1 Raising a Complaint

Clients who are dissatisfied with any aspect of Faro Elite’s services should notify us as soon as reasonably practicable.

Complaints should include sufficient detail to enable Faro Elite to investigate the matter effectively.

Where a complaint relates to a Supplier, prompt notification is particularly important because many Suppliers impose strict reporting deadlines.

31.2 Investigation

Faro Elite will investigate complaints fairly and impartially.

During the investigation we may:

  • request additional information;
  • communicate with relevant Suppliers;
  • review booking records;
  • examine correspondence; and
  • consider any supporting evidence provided.

31.3 Resolution

Where Faro Elite concludes that remedial action is appropriate, we may, depending upon the circumstances:

  • provide an explanation;
  • facilitate corrective action;
  • seek an appropriate remedy from the relevant Supplier;
  • offer a goodwill gesture without admission of liability; or
  • implement operational improvements to prevent recurrence.

Nothing in this clause requires Faro Elite to provide compensation where no legal entitlement exists.

31.4 Time Limits

To maximise the likelihood of an effective resolution, Clients should raise complaints promptly after becoming aware of the relevant issue.

Delays may reduce the remedies available, particularly where Supplier contractual deadlines apply.

32. Liability

32.1 Scope of Liability

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

Subject to that limitation, Faro Elite shall be responsible only for losses directly resulting from its own breach of these Terms or its failure to exercise reasonable skill and care in providing the Concierge Services.

32.2 Third-Party Suppliers

Faro Elite does not own, operate or control independent Suppliers.

Accordingly, Faro Elite is not responsible for:

  • the acts or omissions of Suppliers;
  • delays caused by Suppliers;
  • Supplier insolvency;
  • inaccurate information supplied by Suppliers;
  • cancellation of Supplier services;
  • changes imposed by Suppliers; or
  • the quality, safety or suitability of goods or services supplied by independent Suppliers.

Nothing in this clause affects any legal rights the Client may have directly against the relevant Supplier.

32.3 Excluded Losses

To the fullest extent permitted by law, Faro Elite shall not be liable for:

  • indirect or consequential loss;
  • loss of profit;
  • loss of revenue;
  • loss of business opportunity;
  • loss of anticipated savings;
  • loss of goodwill;
  • reputational damage; or
  • losses arising from circumstances beyond Faro Elite’s reasonable control.

32.4 Client Delay

Faro Elite shall not be responsible for any loss arising from:

  • inaccurate information supplied by the Client;
  • delayed instructions;
  • failure to approve quotations promptly;
  • failure to provide required documentation;
  • failure to comply with Supplier requirements; or
  • any other act or omission of the Client.

32.5 Financial Cap

To the maximum extent permitted by law, Faro Elite’s  aggregate liability arising from any single engagement shall not exceed the total Service Fees paid directly to Faro Elite in respect of that engagement.

This limitation does not apply to liability that cannot lawfully be excluded or limited.

33. Indemnity

The Client agrees to indemnify and keep Faro Elite, its directors, employees and representatives indemnified against all reasonable losses, liabilities, costs, claims and expenses arising from:

  • the Client’s breach of these Terms;
  • inaccurate or misleading information supplied by the Client;
  • unlawful use of the Concierge Services;
  • infringement of third-party rights by the Client; or
  • instructions given by the Client that Faro Elite reasonably relies upon.

This indemnity does not apply to the extent that the relevant loss results from Faro Elite’s own negligence, fraud or wilful misconduct.

34. Intellectual Property

All intellectual property rights in Faro Elite’s:

  • brand;
  • trade names;
  • logos;
  • website;
  • content;
  • proposals;
  • itineraries;
  • reports;
  • presentations;
  • templates;
  • processes;
  • methodologies; and
  • Concierge materials,

remain the exclusive property of Faro Elite or its licensors unless expressly agreed otherwise in writing.

No intellectual property rights are transferred to the Client except for the limited right to use deliverables for their intended purpose.

Clients must not reproduce, distribute, modify, publish or commercially exploit Faro Elite’s intellectual property without prior written consent.

35. Confidentiality

Each party shall keep confidential all non-public information obtained from the other party in connection with these Terms.

Confidential information includes, without limitation:

  • commercial information;
  • pricing;
  • personal information;
  • business strategies;
  • supplier relationships;
  • proprietary processes;
  • travel arrangements;
  • family office information; and
  • other information that would reasonably be regarded as confidential.

This obligation does not apply where disclosure is:

  • required by law;
  • required by a competent authority;
  • authorised by the other party; or
  • necessary for the performance of these Terms.

The confidentiality obligations survive termination of this agreement.

36. Privacy & Data Protection

Faro Elite processes personal information in accordance with its Privacy Policy and applicable data protection legislation.

By using our services, the Client acknowledges that Faro Elite may process personal information where reasonably necessary to:

  • provide Concierge Services;
  • arrange Bookings;
  • communicate with Suppliers;
  • comply with legal obligations;
  • prevent fraud;
  • manage Client relationships; and
  • improve operational performance.

Where international transfers of personal information are necessary to perform requested services, the Client acknowledges that such transfers may occur subject to applicable legal safeguards.

37. Force Majeure

Faro Elite shall not be liable for any delay or failure to perform its obligations where performance is prevented or materially affected by circumstances beyond its reasonable control.

Such circumstances may include:

  • natural disasters;
  • severe weather;
  • pandemics;
  • governmental action;
  • changes in law;
  • armed conflict;
  • terrorism;
  • civil unrest;
  • industrial disputes;
  • cyber incidents;
  • utility failures; or
  • failure of telecommunications infrastructure.

Where reasonably practicable, Faro Elite will notify the Client and resume performance as soon as circumstances permit.

38. Suspension & Termination

Faro Elite may suspend or terminate the provision of services immediately where:

  • payment remains overdue;
  • the Client commits a material breach of these Terms;
  • continued performance would be unlawful;
  • fraud or attempted fraud is reasonably suspected;
  • the Client behaves abusively towards Faro Elite personnel or Suppliers; or
  • continuing the relationship would expose Faro Elite to unacceptable legal, financial or reputational risk.

Termination shall not affect:

  • accrued rights;
  • outstanding payment obligations;
  • earned Service Fees;
  • confidentiality obligations;
  • intellectual property rights; or
  • any provision intended to survive termination.

39. Notices

Any notice given under these Terms shall be in writing and may be delivered by:

  • email;
  • courier;
  • recorded delivery; or
  • another communication method expressly agreed between the parties.

A notice shall be deemed received:

  • immediately where personally delivered;
  • when electronic transmission is confirmed for email; or
  • on recorded delivery in accordance with the carrier’s confirmation of delivery.

40. Entire Agreement

These Terms, together with any quotation, Membership Terms and incorporated policies, constitute the entire agreement between Faro Elite and the Client relating to the relevant services.

They supersede all prior discussions, proposals, negotiations and understandings relating to those services.

The Client acknowledges that they have not relied upon any statement or representation not expressly incorporated into this agreement, except where such reliance cannot lawfully be excluded.

41. Severability

If any provision of these Terms is found by a court or competent authority to be invalid, illegal or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable.

If modification is not possible, the provision shall be severed without affecting the validity or enforceability of the remaining provisions.

42. Waiver

Any failure or delay by Faro Elite in exercising a right or remedy shall not constitute a waiver of that right or remedy.

A waiver shall only be effective if made expressly in writing.

A partial exercise of any right does not prevent any subsequent exercise of that or any other right.

43. Assignment

The Client may not assign, transfer or otherwise dispose of any rights or obligations under these Terms without Faro Elite’s prior written consent.

Faro Elite may assign or transfer its rights and obligations where reasonably necessary in connection with:

  • a corporate reorganisation;
  • a merger;
  • an acquisition;
  • a sale of business; or
  • another legitimate business restructuring,

provided that such transfer does not materially reduce the Client’s contractual protections.

44. Governing Law & Jurisdiction

These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by the laws of Mauritius.

The courts of Mauritius shall have exclusive jurisdiction to resolve any dispute arising from or relating to these Terms, unless mandatory law requires otherwise.

Before commencing formal legal proceedings, the parties shall use reasonable efforts to resolve disputes through good-faith negotiations.
